Fix kernel panic in my Athlon64 Ubuntu box

I'm just posting this because every time I redo my 64-bit linux box, things work great for 5-10 minutes and then I get kernel panics where everything locks up and I end up having to reboot. The magic alt sysreq trick won't work either. (Note: if your linux box freezes up and killing the X-Server by doing a Ctrl-Alt-Backspace doesn't help, try holding down Alt SysReq and typing REISUB while holding down those two keys. It will try to give you back control of the keyboard, safely unmount your drives, and reboot.) Anyway, I'm not sure why but it to solve the kernel panics on my amd64 box, all I have to do is disable power management. Do this by appending acpi=off to each kernel line in /boot/grub/menu.lst.
